SBBPOS User Agreement

This User Agreement ("Agreement") is a legally binding contract between you ("User", "Account Holder", or "you") and SBB Solutions AB, a company registered in Sweden under organisation number 559588-1433, with registered address at Östra Gränsgatan 2, 283 72 Lönsboda, Sweden ("SBBPOS", "we", "us", or "our").

By registering an Account, clicking "Agree", or continuing to use the SBBPOS service, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not use the service.

If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these terms.

2. Service Description

SBBPOS is a cloud-based, multi-tenant, Software-as-a-Service (SaaS) Point of Sale system designed for retail businesses. The Service operates on a freemium model: a free tier provides limited access to core POS functionality; full access requires purchasing the Basic App License. Additional functionality is available through purchasable Modules.

The Service is provided "as is" and "as available". We make reasonable efforts to ensure availability and reliability but do not guarantee uninterrupted or error-free operation.

3. Registration and Account Security

To use the Service you must register with a valid email address and provide accurate, complete, and current information. You must be at least 18 years old to register an Account.

You are responsible for:

Account Holder responsibility: The Account Holder is solely responsible for all actions taken by Users under their Account, including cashiers and managers. Granting access to a User is your decision and your responsibility.

4. Billing, Modules, and Payment Terms

4.1 Free Tier

The free tier provides limited POS functionality without charge. No credit card is required to create an Account or use the free tier.

4.2 Paid Modules and Subscriptions

Activating the Basic App License or any additional Module constitutes a monthly Subscription. Subscriptions are billed in advance on a monthly cycle. Current module prices are listed at sbbpos.com/modules.

4.3 Payment Processing

All Subscription payments are processed securely through our payment provider. By providing payment details, you authorise us to charge the applicable fees on a recurring monthly basis until you cancel.

4.4 Failed Payments

If a payment fails, we will notify you by email and retry the charge. If payment remains outstanding after 7 days, access to paid Modules may be suspended. If outstanding after 30 days, the Account may be terminated in accordance with Section 15.

4.5 Price Changes

We reserve the right to change Module prices. We will provide at least 30 days written notice by email before any price increase takes effect for existing subscribers. Continued use of a Module after the effective date constitutes acceptance of the new price.

4.6 Cancellation and Refunds

You may cancel your Subscription at any time from within your Account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not offer pro-rata refunds for partial billing periods unless required by applicable law.

4.7 Taxes

All stated prices are exclusive of applicable taxes. You are responsible for any VAT or other taxes applicable to your Subscription based on your jurisdiction.

5. Bookkeeping, Fiscal, and Legal Compliance

Important: SBBPOS is a transactional tool, not a certified accounting system. Your legal obligations as a business remain yours alone. Please read this section carefully.

SBBPOS records sales, refunds, and payments as a convenience tool. It does not replace your legal obligation to maintain proper books and records. As a business you remain solely and fully responsible for:

SBBPOS assumes no liability for any tax, bookkeeping, or regulatory compliance failures, penalties, audits, or fines arising from your use of the Service. Our data retention periods (Section 10) are shorter than the legal 7-year requirement — you must export and maintain your own independent records.

8. Intellectual Property

The Service, including all software, code, design, logos, and documentation, is owned by SBB Solutions AB and protected by copyright, trademark, and other intellectual property laws. This Agreement grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal business operations only.

Your data: You retain full ownership of all business data you enter into the Service. You grant us a limited licence to host, process, and store this data solely for the purpose of providing the Service to you.

Aggregated data: We may use anonymised, aggregated, non-identifiable usage data for product improvement and analytics. This data cannot be used to identify you or your customers.

9. Data Processing and GDPR

9.1 Roles

SBBPOS acts as a data processor on your behalf for transaction and business data you enter into the Service, and as a data controller for Account registration data (your name, email address, and login credentials).

9.2 Privacy Policy

Our Privacy Policy, which forms part of this Agreement, is available at sbbpos.com/privacy. It describes what personal data we collect, why, how long we retain it, and your rights under GDPR.

9.3 Your Obligations as a Data Controller

If you attach personal data to records in SBBPOS (for example, a customer name on a receipt or employee user accounts), you are acting as a data controller under GDPR. You are solely responsible for maintaining an appropriate legal basis for that processing, responding to data subject requests from your own customers and employees, and complying with all applicable data protection law.

9.4 Sub-processors

We use the following sub-processors in the operation of SBBPOS:

We will provide at least 30 days notice by email to Account Holders before adding or replacing any sub-processor.

Important: SBBPOS retention periods are shorter than the 7-year legal requirement under Swedish bookkeeping law. You must export and maintain your own records. SBBPOS does not guarantee data availability beyond the periods above.

Upon confirmed Account closure, all Account data will be permanently deleted within 30 days, except where retention is required by law.

11. Service Availability and Modifications

We aim to provide reliable service but do not guarantee any specific uptime. We reserve the right to perform scheduled maintenance (endeavouring to do so during low-traffic hours), modify or update any feature, and discontinue the Service entirely with a minimum of 90 days notice by email to Account Holders.

12. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific business or regulatory requirements. You are responsible for maintaining independent backups of critical business data.

13. Limitation of Liability

To the fullest extent permitted by applicable law, SBB Solutions AB and its directors, employees, and agents shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, revenue, business, data, or goodwill; tax penalties or regulatory fines; service interruptions or data loss; or any actions or omissions of third-party sub-processors.

Where liability cannot be excluded under Swedish law, our total aggregate liability for any claim under this Agreement shall not exceed the total Subscription fees paid by you in the three months immediately preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless SBB Solutions AB, its directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your breach of this Agreement, your violation of any law or regulation, or your use or misuse of the Service.

15. Term and Termination

15.1 Term

This Agreement begins when you create an Account and continues until terminated by either party.

15.2 Termination by You

You may terminate your Account at any time by contacting webmaster@sbbpos.com. Termination takes effect at the end of your current billing period.

15.3 Termination by Us

We may suspend or terminate your Account immediately if you breach this Agreement, payment remains outstanding after 30 days despite notice, we are required to do so by law, or we reasonably believe the Account is being used fraudulently or unlawfully.

15.4 Effect of Termination

Upon termination your access ceases. You should export any data you require before the termination date — we will provide a data export on written request made before termination. All Account data will be permanently deleted within 30 days, subject to any legal retention obligations. Accrued payment obligations survive termination.

16. Changes to this Agreement

We may update this Agreement at any time. For material changes — including changes to pricing, liability, or your legal rights — we will provide at least 30 days written notice by email before changes take effect. Continued use after the effective date constitutes acceptance of the updated Agreement. The current version is always available at www.sbbpos.com.

17. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Sweden, without regard to conflict of law principles. Disputes shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be referred to Kristianstads tingsrätt as the court of first instance, unless mandatory consumer protection law in your jurisdiction requires otherwise.

If you are a consumer (not acting in a business capacity), you may also contact the Swedish National Board for Consumer Disputes (ARN) at www.arn.se.
